1. Introduction
This Partner Agreement ("Agreement") is entered into by and between DiveDiveGo ("Marketplace") and the undersigned dive service provider ("Partner"). By creating an account and listing diving experiences on the Marketplace, the Partner agrees to comply with the terms and conditions set forth herein.
2. Platform Usage
2.1 The Marketplace provides an online platform for the Partner to list, promote, and offer diving experiences to customers ("Divers").
2.2 The Partner is responsible for the accuracy of all listing content, including descriptions, pricing, availability, terms, and qualifications required.
2.3 The Partner may not publish personal contact information in listings or attempt to circumvent the platform to receive direct bookings.
2.4 The Partner agrees to follow DiveDiveGo’s brand guidelines and quality standards where applicable.
3. Bookings and Notifications
3.1 Divers may book listed diving experiences through the Marketplace.
3.2 The Partner must accept or reject each booking request within 24 hours of receiving notification from the platform.
3.3 All communication with Divers must occur via the Marketplace's messaging system, and messages should be answered within 24 hours.
3.4 The Partner agrees to promptly notify DiveDiveGo of any operational issues that could affect booked experiences.
4. Cancellation Policies
4.1 The Partner is solely responsible for defining and maintaining the cancellation and refund policy applicable to each Experience or Listing offered on the DiveDiveGo platform ("Cancellation Policy").
4.2 The Cancellation Policy must be provided by the Partner in plain-text form during the listing creation or editing process and will be displayed to Customers as part of the applicable Listing.
4.3 The Partner represents and warrants that its Cancellation Policy is accurate, clear, lawful, and compliant with all applicable consumer protection laws.
4.4 A booking may be cancelled either by the Partner or by the Customer through the DiveDiveGo booking interface, subject to the applicable Cancellation Policy displayed in the Listing.
4.5 Notwithstanding the Partner’s stated Cancellation Policy, if a booking is cancelled by the Partner for any reason, the Customer shall be entitled to a full refund of all amounts paid for the booking.
5. Refund Processing and Dispute Determination
5.1 DiveDiveGo acts solely as a payment facilitator and marketplace operator. DiveDiveGo will process cancellations and refunds strictly in accordance with the Cancellation Policy defined by the Partner in the applicable Listing.
5.2 DiveDiveGo shall have no obligation to issue refunds, credits, or compensation to Customers except as expressly required by the Partner’s Cancellation Policy or applicable law.
5.3 DiveDiveGo’s role is limited to executing refunds in accordance with the stated Cancellation Policy and does not include independent evaluation of refund eligibility, except as set forth below.
5.4 In the event of a dispute between a Partner and a Customer relating to a cancellation or refund, DiveDiveGo may review the circumstances and make a final determination regarding the application of the Partner’s Cancellation Policy for purposes of refund processing on the platform. The Partner acknowledges that such determination shall be final with respect to transactions processed through the Marketplace and agrees to cooperate in good faith with any related review.
6. Payments and Payouts
6.1 The Partner must provide accurate and up-to-date bank or payout account details in order to receive payouts.
6.2 Unless otherwise specified, payouts are processed within two (2) business days following the completion date of the booked experience.
6.3 For experiences booked more than thirty (30) days in advance of the scheduled experience date, DiveDiveGo may, at its discretion, process payouts earlier than the standard payout timing.
6.4 In cases where an early payout is made, the Partner agrees to maintain sufficient funds and authorizes DiveDiveGo to recover any amounts necessary to process refunds, chargebacks, or reversals in accordance with the applicable Cancellation Policy.
6.5 DiveDiveGo may withhold, delay, or offset payouts in cases of customer disputes, Partner-initiated cancellations, suspected fraudulent activity, or where required to ensure refund availability.
6.6 In some jurisdictions, additional compliance checks or documentation may be required to process payouts.
7. Partner Responsibilities
7.1 The Partner agrees to deliver safe, legal, and professional diving experiences in accordance with local laws and industry standards.
7.2 The Partner is solely responsible for maintaining necessary permits, licenses, and insurance.
7.3 The Partner must notify the Marketplace immediately of any changes to legal, ownership, or operational status.
7.4 The Partner is expected to resolve Diver complaints in a professional manner within 24 hours and to cooperate with DiveDiveGo in any dispute resolution processes.
7.5 The Partner may be asked to remove or revise listings that do not meet DiveDiveGo’s service expectations.
7.6 The Partner accepts financial responsibility for refunds, reversals, chargebacks, and associated fees resulting from cancellations initiated by the Partner or from failure to honor the stated Cancellation Policy. Partner-initiated cancellations shall result in a full refund to the Customer.
7.7 The Partner shall indemnify and hold harmless DiveDiveGo from any claims, disputes, chargebacks, losses, or liabilities arising from or related to:
(a) the Partner’s Cancellation Policy,
(b) any failure to honor the stated Cancellation Policy, or
(c) any customer dispute related to cancellations or refunds.
8. Commission and Fees
8.1 DiveDiveGo applies a marketplace service fee (the “Marketplace Fee”) to each booking, which is added on top of the price set by the Partner in the applicable Listing and paid by the Customer at checkout.
8.2 The Partner acknowledges and agrees to this pricing structure.
8.3 Payment processing fees charged by DiveDiveGo’s payment service providers (the “Transaction Fee”) are deducted from the amount payable to the Partner.
8.4 The Partner’s payout for a completed booking equals the price set by the Partner in the applicable Listing, minus the applicable Transaction Fee.
8.5 Additional optional marketing services may be subject to separate charges.
9. Liability
9.1 The Partner is fully responsible for the execution of the experience and for all safety measures provided during the experience.
9.2 The Partner agrees to indemnify and hold harmless DiveDiveGo from any claims, damages, or liabilities related to the Partner’s services or conduct.
9.3 The Marketplace is not liable for damages, losses, or disputes arising from or connected to diving experiences.
10. Intellectual Property
10.1 All content uploaded by the Partner must be original or have proper licensing. DiveDiveGo may remove content that violates copyright laws.
10.2 The Partner grants DiveDiveGo a worldwide, royalty-free license to use, display, promote, and distribute listing content (e.g., photos, descriptions) for marketing or operational purposes.
11. Reviews and Ratings
11.1 DiveDiveGo may collect, display, and manage Diver reviews and ratings for the Partner’s services.
11.2 The Partner may not manipulate or interfere with the review process.
12. Termination
12.1 DiveDiveGo may suspend or terminate the Partner’s account for breach of this Agreement, poor customer experience, legal non-compliance, or fraudulent activity.
12.2 The Partner may terminate this Agreement by removing all listings and providing written notice.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which DiveDiveGo is registered.
14. Miscellaneous
14.1 This Agreement constitutes the full understanding between the parties and supersedes prior agreements.
14.2 If any provision is found unenforceable, the remainder shall continue in effect.
14.3 Changes to this Agreement must be made in writing and mutually agreed upon.
15. Acceptance
By creating an account and listing diving experiences on DiveDiveGo, the Partner confirms they have read, understood, and agree to these terms.
